Legal
Terms & Conditions
Effective date: October 17, 2026
These Terms govern access to websites, content, resources, products, and services provided by VERA SOLUTIONS AI LLC (VERA Solutions, VERA, we, us, or our). They apply across our business, including advisory work, education, professional services, technology, and implementation. References to a particular offering are examples and do not limit their scope.
1. Agreement and order of precedence
You must be legally able to enter a contract. If you accept these Terms for an organization, you represent that you have authority to bind it. These Terms form part of an order, proposal, statement of work, or service agreement when that document incorporates them and you accept it. Access to public content does not by itself create a paid engagement or a professional advisory relationship.
A separately signed agreement controls over these Terms where they conflict. An accepted order or statement of work controls for its stated scope, pricing, and delivery requirements. Mandatory legal rights remain unaffected. Any change to a signed agreement must follow that agreement's change process.
2. Scope, delivery, and changes
Only work expressly included in an accepted order or agreement is included in an engagement. Additional requests, revisions, integrations, support, hosting, training, and maintenance require agreement on scope, fees, and timing. Estimates and target dates depend on timely information, access, approvals, and third-party availability. Delays or changes in those dependencies may require revised dates and charges agreed through the applicable change process.
We do not promise ongoing support, monitoring, updates, regulatory review, or compatibility with future third-party changes unless expressly included. Nothing on this website obligates us to accept a project or provide a particular service.
3. Fees, expenses, cancellation, and suspension
Fees, payment dates, deposits, recurring charges, approved expenses, cancellation, and refund terms are set out in the applicable order or agreement. Recurring charges require authorization; these Terms alone do not authorize a subscription. Unless the agreement states otherwise, you are responsible for applicable transaction taxes other than taxes on our income and for third-party charges you authorize.
Cancellation does not erase amounts already earned for completed work or approved, non-cancellable commitments, subject to the applicable agreement and mandatory law. We may suspend affected work for overdue undisputed payments, unlawful use, or a material security risk. Where reasonably possible, we will give notice and an opportunity to resolve the issue. Project-specific termination rights and any refund rights remain governed by your agreement and applicable law.
4. Your responsibilities
You are responsible for accurate instructions, timely decisions, required access and approvals, backups of your systems and data, and the lawful use of deliverables. Review and approve material before publishing or deploying it. You retain responsibility for your business decisions, customer communications, claims, licenses, permissions, consents, and compliance obligations, except to the extent our agreement expressly assigns a task to us.
You represent that you have the rights and permissions needed for material, data, accounts, and instructions you provide. Do not provide passwords through public forms, submit sensitive or regulated information without an agreed handling arrangement, misuse our systems, infringe others' rights, bypass access controls, or use our services for unlawful or deceptive conduct.
5. Intellectual property and permitted use
We or our licensors retain rights in our pre-existing and independently developed methods, templates, software, tools, training materials, know-how, and improvements to them. You retain rights in materials you provide and give us permission to use them as needed to perform the engagement. Neither party may use the other's name, logo, or confidential material as a public endorsement without permission.
Ownership and licensing of custom deliverables follow your service agreement. If an accepted engagement does not specify otherwise, once all related fees are paid, you receive a non-exclusive license to use the delivered work for the business purpose for which it was commissioned. This does not transfer our underlying tools or third-party rights. Public resources may be used for your own learning and internal business purposes; redistribution, resale, or commercial repackaging requires permission except where applicable law permits it. Third-party and open-source materials remain subject to their own licenses.
6. Confidentiality and data
For an engagement, each party will use the other's non-public information only for that engagement, protect it with reasonable care, and limit disclosure to people and providers who need it and are subject to appropriate confidentiality obligations. This excludes information already lawfully known, independently developed, publicly available without a breach, or lawfully received without restriction. Disclosure required by law is permitted, with notice where legally allowed.
Our Privacy Policy describes personal-information handling. Additional security, data-processing, retention, or regulated-data requirements must be agreed in writing where needed. No public website or communication channel should be treated as a secure repository for confidential client records.
7. Third-party services and automated tools
Third-party platforms, hosting providers, software, payment services, and automated or AI tools are subject to their own terms, pricing, policies, and availability. We do not control their outages, changes, account restrictions, or decisions. You are responsible for maintaining licenses and accounts assigned to you. AI and automated outputs may contain errors or omissions and require appropriate human review before reliance, publication, or execution.
8. No guaranteed results or professional advice
Examples, forecasts, testimonials, and past results do not guarantee future outcomes. Unless expressly promised in a signed agreement, we do not guarantee revenue, profit, leads, conversions, rankings, cost savings, uninterrupted operation, or any other business result. Results depend on factors including your circumstances, decisions, implementation, market conditions, and third parties.
General content and educational material are not legal, tax, investment, accounting, medical, or other licensed professional advice. Obtain qualified advice where needed. You remain responsible for deciding whether a recommendation or tool is appropriate for your situation.
9. Warranty disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR PUBLIC WEBSITES, CONTENT, FREE RESOURCES, AND TOOLS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT EXPRESS OR IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THEY ARE ERROR-FREE, SECURE, OR ALWAYS AVAILABLE. Any express warranties in a signed service agreement remain in effect. This disclaimer does not remove warranties or rights that cannot lawfully be excluded.
10. Limitation of liability
To the maximum extent permitted by law, neither VERA nor its personnel will be liable under these Terms for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost business opportunities, or loss of data, arising from use of our websites, content, products, or services, even if advised of the possibility.
Unless a signed agreement sets a different limit, our aggregate liability for claims arising from the same or related events will not exceed the greater of US $100 or the fees you paid VERA for the specific service giving rise to the claim during the six months before the event. These limitations do not apply to fraud, willful misconduct, gross negligence, or liability that applicable law does not allow us to limit. Mandatory consumer protections and remedies are preserved.
11. Third-party claims
For business engagements, to the extent permitted by law and unless a signed agreement states otherwise, you agree to defend and indemnify VERA and its personnel against third-party claims and reasonable resulting costs arising from materials you provided without necessary rights, your unlawful use of our services, or your material breach of these Terms. This does not cover claims to the extent caused by our breach, negligence, or misconduct. We will provide prompt notice and reasonable cooperation. No settlement may admit fault for us or impose non-monetary obligations on us without our consent.
12. Disputes and governing law
Unless your signed agreement states otherwise, Florida law governs these Terms, excluding conflict-of-law rules. Subject to mandatory law, disputes will be brought in the state courts in Palm Beach County, Florida, or the federal court serving that county. Contact us first so we can try to resolve a concern. Nothing here prevents urgent protective relief, a permitted small-claims action, or rights to a different forum that applicable law makes mandatory.
13. Communications
We may communicate about your requests and engagements using the contact details you provide. You may unsubscribe from promotional emails or contact us to update your preferences. Optional text messaging is governed by our SMS Terms. Accepting these general Terms is not consent to marketing text messages.
14. General provisions
We may revise these Terms for future use and engagements by publishing a new effective date. Revisions do not retroactively change a signed agreement or expand messaging consent. Where acceptance is required, an update becomes part of your agreement only through the applicable acceptance process. If a provision is unenforceable, the remaining provisions remain effective to the extent permitted by law. Failure to enforce a right is not a waiver. These Terms do not create a partnership, employment, agency, or joint venture.
Neither party is responsible for delay caused by events beyond its reasonable control, except payment obligations already due. The affected party must take reasonable steps to reduce the impact. A separate agreement may provide additional procedures or termination rights.
